1. OPEN SOFT LLC Terms and Conditions

These terms and conditions ("Agreement") govern all Website Design and Development work conducted by OPEN SOFT LLC for its clients ("Client").

2. Website Design and Development Quotes and Specifications

All quotes and specifications provided by OPEN SOFT LLC are free of charge and are based on information provided by the Client.

3. Content for Website Design and Development

The Client is responsible for supplying all content required for the website, including but not limited to images, photography, written content, video content, and logos. OPEN SOFT LLC may extend project deadlines if there are delays in receiving these materials. If the Client fails to provide the necessary materials, OPEN SOFT LLC reserves the right to invoice for completed portions of the project.

4. Project Development Delays and Client Responsibility

Project timelines depend on the Client's cooperation. The Client must appoint a single point of contact, who will be available daily to ensure the project is delivered on time.

5. Changes to Requirements

OPEN SOFT LLC offers the Client an opportunity to provide feedback on design work. Reasonable revisions are allowed. Additional fees may apply if changes to the original specifications affect the design concept.

6. Website Warranty

OPEN SOFT LLC provides a 1-year warranty on all websites. Any issues arising during this period will be fixed free of charge. The warranty is void if any third-party developers, not affiliated with OPEN SOFT LLC, perform work on the website.

7. E-Commerce Compliance

The Client is responsible for ensuring compliance with all relevant laws related to any e-commerce website developed by OPEN SOFT LLC. The Client agrees to indemnify OPEN SOFT LLC from any claims, penalties, or damages resulting from their online sales activities.

8. Search Engine Performance

OPEN SOFT LLC does not guarantee specific search engine rankings but will implement basic search engine optimization (SEO) practices according to current best practices.

9. Limitation of Liability

OPEN SOFT LLC is not liable for any loss or damage, including but not limited to website downtime, application errors, or incomplete development, which may occur during or after project completion.

10. Cross-Browser Compatibility

OPEN SOFT LLC will design websites to function on current versions of Google Chrome, Mozilla Firefox, Safari, and Microsoft Edge. Compatibility with older or obsolete browsers is not guaranteed.

11. Website Ownership & Licensing

The website remains the property of OPEN SOFT LLC until the Client has made full payment for all work completed. Upon full payment, ownership is transferred to the Client. Websites developed by OPEN SOFT LLC may not be replicated or distributed without permission. A single-use license is granted unless otherwise agreed. Licenses may be transferred if the business is sold.

12. Third-Party Integration

The Client may integrate the website into third-party systems (e.g., APIs, CRMs, social media platforms). OPEN SOFT LLC is not responsible for any third-party work performed on the website.

13. Backup of Website Data

OPEN SOFT LLC provides monthly backups for websites hosted on their servers. The Client is responsible for backing up websites not hosted by OPEN SOFT LLC.

14. Third-Party Intellectual Property Indemnification

OPEN SOFT LLC indemnifies the Client from any claims regarding third-party intellectual property used in the development of the website.

15. Data Privacy (GDPR Compliance)

OPEN SOFT LLC will only access user data for website development and testing purposes and will not send emails to user data outside the scope of the project.

16. Termination of Contract

  • Termination on Notice: Either party may terminate this Agreement with 30 days' written notice.
  • Termination for Insolvency: If either party becomes insolvent or bankrupt, the other party may terminate the Agreement immediately.
  • Payment Obligations: Upon termination, both parties remain liable for services rendered, goods delivered, and expenses incurred prior to termination.
  • No Further Liability: Upon termination or expiration of this Agreement, neither party will have any further liability to the other, except for obligations arising before termination.

17. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, and the parties agree to submit to the exclusive jurisdiction of the courts located in Wyoming, United States.
